ACCOUNTABILITIES & ESSENTIAL FUNCTIONS Legal Guidance and Strategic Advisory
- Act as a strategic thought partner to executive leadership, providing legal counsel on business decisions, transactions, and risk management.
- Maintain deep knowledge of business operations, objectives, and evolving strategies.
- Advise on legal implications tied to commercial agreements, regulatory matters, employment/HR, marketing, litigation, and other operational issues as they arise.
- Lead and manage the contract review and negotiation function, including oversight and direct management of the contract review team.
Commercial Contracts and Contract Management
- Create, maintain, and update contract templates and playbooks.
- Advise on contractual matters.
- Participate directly in negotiations with counterparties as needed.
- Oversee contract frameworks including FARs/DFARs catalog.
Compliance, Data Privacy, and Regulatory Oversight
- Ensure compliance with applicable laws and regulations, including privacy, data security, and governance standards (e.g., ITAR, CUI, CMMC).
- Monitor regulatory developments and implement necessary policy updates.
- Draft and update policies, disclosures, and compliance documentation.
- Ensure alignment between NDAs, confidentiality provisions, and broader data-sharing practices.
Litigation, Claims, and Dispute Resolution
- Oversee all claims, litigation, and disputes, including coordination with internal stakeholders and external counsel.
- Develop legal strategies for settlements, mediation, arbitration, and trial proceedings.
- Participate directly in mediations, arbitrations, trials, and negotiations when required.
- Draft settlement agreements and legal releases.
- Respond to subpoenas and legal requests by managing document collection, review, and production.
Employment/HR Legal Support
- Provide legal guidance on employment matters, including terminations, discipline, and documentation.
- Interpret restrictive covenants (non-compete, non-solicitation).
- Support HR in regulatory compliance and sensitive matters while preserving attorney-client privilege.
- Oversee employment-related outside counsel as needed.
Corporate Governance and Entity Management
- Manage corporate governance processes, including entity formation, maintenance, and dissolution globally.
- Draft board resolutions, minutes, and corporate documentation.
- Oversee annual reporting requirements and compliance filings.
- Protect and manage company intellectual property.
Collections, Bankruptcy, and Class Actions
- Support collections efforts through contract interpretation and drafting of correspondence.
- Assist credit teams with bankruptcy filings, including Proofs of Claim.
- Track and communicate bankruptcy activity impacting customers and suppliers.
- Monitor class action opportunities and ensure appropriate claims are filed.
Training and Internal Enablement
- Develop and deliver legal and compliance training programs for new hires and existing employees.
- Advise on training program structure and continuous improvement.
Leadership/Management
- Develops and maintains a productive work teams by hiring qualified personnel, training, and managing performance.
- Manages teams with integrity, ethical business practices, and in accordance with Mouser policies, procedures, and practices.

EDUCATION & EXPERIENCE
- Bachelor's degree from an accredited four-year College or University
- JD from an accredited Law School
- Currently licensed as an attorney in any US State (Texas preferred)
- 7+ years' experience in a law firm or in-house counsel role involving corporate law
- Equivalent combination of education and experience is acceptable.
- Internal candidates: Minimum of 5 years total management experience, including a minimum of 3 years as an exceptional performing Mouser Manager.
- External candidates: Minimum 6 years of total management experience, including 4 years of experience as a manager or higher-level management position. Exceptional references required.
