Job Details

Under general direction of the Associate General Counsel, or other managing attorney within the Legal Department, the Legal Specialist II performs a variety of legal services and provides project management support on contract, corporate, corporate social responsibility, entity management, health care regulatory, investor relations, non-profit, securities, real estate, treasury, tax, and other legal matters that are handled by the Legal Department. The Legal Specialist II must have sufficient experience and ability to function as an independent professional.

Primary Duties and Responsibilities:

The duties and responsibilities of the Legal Specialist II may include, without limitation, the following:

  • Serving as assistant corporate secretary for one or more business units of Cencora
  • Drafting resolutions and meeting minutes
  • Organizing and maintaining corporate minute books and records, and attending to other related formalities for business units of Cencora
  • Working with Treasury Department on banking matters and credit facilities
  • Working with Tax Department on tax planning initiatives and corporate reorganizations involving Cencora business units
  • Preparing or assisting in preparation of SEC filings, including proxy statements, annual reports, quarterly reports, periodic filings and registration statements
  • Preparing Secretary's certificates and otherwise handling matters required to complete and close corporate acquisitions, divestitures, financings and other transactions
  • Helping Cencora comply with applicable federal and state healthcare regulatory frameworks, including but not limited to fraud and abuse laws, pricing regulations, privacy requirements, and government program obligations
  • Assisting with internal monitoring activities, audits, and investigations related to healthcare compliance
  • Supporting responses to government inquiries, audits, and enforcement actions
  • Assisting in the development of training materials related to healthcare compliance
  • Monitoring and analyzing developments in healthcare laws, regulations, and enforcement trends
  • Assisting in drafting and updating compliance policies, SOPs, and internal guidance documents

Experience and Education Requirements:

  • Requires good research experience, writing, communication and computer skills
  • Normally requires a minimum of five (5) or more years of progressively responsible and directly related experience.
  • Experience in a large law firm or the legal department or contract administration group of a public company is desirable.

Minimum Skill, Ability and Knowledge Requirements:

  • Familiar with a variety of the field's concepts, practices and legal procedures
  • Ability to work independently
  • Excellent research skills
  • Ability to communicate effectively both orally and in writing
  • Excellent interpersonal skills
  • Strong judgment and ability to resolve issues effectively
  • Strong organizational skills; attention to detail
  • Strong computer skills; knowledge of Microsoft Word, Excel and PowerPoint
