Position Overview:

The Chief Risk
Officer (CRO) is a senior executive responsible for the enterprise-wide
leadership, development, and execution of the Bank's risk management framework.
This role ensures the effective identification, measurement, monitoring, and
mitigation of all key risk categories, including credit, compliance, legal,
operational, and reputational risk.
This position
partners closely with executive leadership and the Board of Directors to define
and uphold the Bank's risk appetite, strengthen risk culture, and align risk
strategies with overall business objectives. The CRO also oversees regulatory
compliance programs, enterprise governance structures, and special assets
management, ensuring adherence to all applicable laws, regulations, and
industry standards.

Essential Functions:

  • Lead the design, implementation, and continuous enhancement of the Bank's Enterprise Risk Management (ERM) framework, ensuring alignment with strategic goals and regulatory expectations.
  • Partner with executive leadership and the Board to define, communicate, and operationalize the Bank's risk appetite and risk tolerance levels.
  • Develop, implement, and maintain risk management policies, procedures, limits, and governance structures across all lines of business.
  • Provide comprehensive and timely reporting to senior management and the Board on risk exposures, trends, and emerging risks.
  • Serve as the primary liaison with regulatory agencies and external auditors, ensuring transparent communication and successful examination outcomes.
  • Oversee and direct the Bank's regulatory compliance program, including oversight of Bank Secrecy Act (BSA), Anti-Money Laundering (AML), and Community Reinvestment Act (CRA) compliance.
  • Provide executive leadership and oversight for Credit Risk, Compliance, Information Security, Fraud, Legal, and CRA functions, ensuring operational effectiveness and alignment with enterprise risk strategies.
  • Lead enterprise-wide risk assessments, scenario analysis, and stress testing to proactively identify and mitigate potential risks.
  • Analyze and evaluate troubled credits, determining optimal strategies to maximize recovery through restructures, settlements, or legal remedies.
  • Negotiate and structure workout agreements with borrowers, legal counsel, and external stakeholders, ensuring risk mitigation and financial recovery.
  • Direct foreclosure processes, bankruptcy proceedings, and litigation strategies in coordination with internal and external legal counsel.
  • Manage Other Real Estate Owned (OREO) assets, including valuation analysis, broker selection, property management, and disposition strategies.
  • Partner
    with the Special Assets Committee, providing strategic guidance on high-risk
    credits and enterprise exposure.
  • Lead the Bank's Business Continuity and Pandemic Planning programs, including business impact analyses, risk assessments, testing protocols, and regulatory compliance.
  • Oversee the Vendor Management Program, including third-party risk assessments, contract governance, regulatory compliance, and ongoing vendor performance monitoring.
  • Foster a strong risk culture across the organization through education, communication, and integration of risk management into business processes.
  • Provide strategic input as a member of the executive leadership team, contributing to organizational planning, growth initiatives, and risk-informed decision-making.
  • Maintain awareness of industry trends, regulatory changes, and emerging risks, ensuring the Bank remains proactive and compliant.
  • Lead and participate in special projects and strategic initiatives as assigned.
  • This position may require travel within the Bank's geographic area.


Experience & Education:

  • 10+ years of supervisory experience leading risk, credit, compliance, or related functions.
  • 15+ years of experience in Banking (Risk Management, Lending, Loan Review, Credit Administration, Compliance, Audit) or within a regulatory agency.
  • 10+ years of experience in Special Assets, including demonstrated expertise in legal and bankruptcy concepts, loan workout strategies, appraisal methodologies, and foreclosure processes.
  • Bachelor's Degree in Business Administration with a concentration in Finance or Accounting.
  • Master of Business Administration (MBA), Certified Public Accountant (CPA), or Juris Doctor (J.D.) preferred.

Skills & Qualifications:

  • Deep expertise in enterprise risk management frameworks and regulatory expectations within the banking industry.
  • Strong knowledge of credit risk, operational risk, compliance risk, legal risk, and reputational risk management practices.
  • Advanced understanding of banking regulations, including BSA/AML, CRA, and applicable federal and state regulatory requirements.
  • Proven ability to develop and implement risk strategies aligned with organizational objectives.
  • Demonstrated leadership experience managing multiple risk-related functions.
  • Expertise in special assets management, including complex loan restructurings, bankruptcies, and foreclosure proceedings.
  • Strong financial analysis and credit evaluation skills, with the ability to assess complex financial structures.
  • Excellent negotiation skills with experience working with borrowers, attorneys, regulators, and external stakeholders.
  • Ability to communicate complex risk concepts clearly to executive leadership and the Board of Directors.
  • Strategic thinking and decision-making capabilities with a proactive, solutions-oriented approach.
  • Strong governance and policy development experience, including risk frameworks, procedures, and controls.
  • High level of integrity, professionalism, and sound judgment in managing sensitive and confidential matters.
  • Proficiency in Microsoft Office applications, including advanced spreadsheet and reporting capabilities.

  • May
    require occasional travel for regulatory meetings, property evaluations,
    or industry engagement.
  • Requires the ability to lift, carry, push, pull weights or otherwise move objects weighing as much as 10 lbs. on a regular basis and/or for extended periods of time during the workday.
  • Occasional overtime or extended hours may be required.
