Position Description: Provide guidance for
contract management to SourceBlue's Legal team, supporting administration,
coordination, and organization of commercial contracts, supplier agreements,
and related claims activities. Manage contract terms compliance to reduce risk while
working with various stakeholders, while providing executive-level
administrative support to SourceBlue legal leadership.

Essential Duties &
Key Responsibilities:

  • Draft, review, and negotiate routine and moderate-risk commercial agreements using approved SourceBlue legal templates, including supplier agreements, Non-Disclosure Agreements (NDAs), purchase orders, and service agreements.
  • Serve as primary point of contact for counterparties on assigned agreements, manage redlines within established risk parameters, and escalate non-standard or elevated risk provisions to Legal leadership with recommended resolution options.
  • Prepare initial contract drafts and revisions incorporating business terms and negotiated positions for Attorney review, where required.
  • Collaborate with Procurement and Operations teams to align contract terms with commercial objectives and defined risk tolerances.
  • Managefull contract lifecycle process for commercial and supplier agreements, including tracking drafts, approvals, execution status, renewals, notice deadlines, and key milestones.
  • Maintain structured electronic contract files, version control integrity, and organized documentation repositories.
  • Track and summarize key contractual risk terms, including limitation of liability caps, indemnity structures, insurance requirements, termination rights, and other material provisions.
  • Maintain and update approved templates, clause libraries, negotiation playbooks, and fallback language to promote consistency and efficiency.
  • Prepare contract summaries, obligation trackers, dispute logs, and internal risk reports for Legal and business stakeholders.
  • Assist with drafting routine correspondence related to supplier performance issues, change orders, pricing adjustments, and claims-related communications.
  • Support organization and compilation of documentation for dispute resolution, mediation, arbitration, or litigation support.
  • Assist attorneys with document comparisons, formatting, incorporation of negotiated terms, and execution package coordination, including electronic signature workflows.
  • Coordinate outside counsel invoice processing and maintain basic legal spend tracking records.
  • Provide targeted administrative support to SourceBlue Legal leadership, including calendar coordination and meeting logistics.
  • Maintain strict confidentiality and exercise sound judgment in handling sensitive contractual and commercial information.
  • Contribute to continuous improvement of SourceBlue contract management, documentation discipline, and Legal team's operations processes.
  • Support SourceBlue Legal leadership in training and guidance to business teams on standard templates, negotiation playbooks, and contract management best practices to improve consistency and reduce cycle time.
  • Administer and support Contract Lifecycle Management (CLM) and e-signature tools by maintaining metadata accuracy, user guidance, standard reports/metrics (cycle time, bottlenecks), and process documentation.
  • Partner with stakeholders to manage post-execution obligations, including monitoring deliverables, service levels, reporting requirements, audit rights, and renewal/termination actions; escalate non-compliance issues as needed.
  • Support Procurement in performing upfront risk assessments on proposed terms and vendor profiles, identify compliance requirements (e.g., insurance certificates, licensing, cybersecurity/data protection), and recommend practical risk mitigation strategies.
  • Develop and maintain contract intake and approval workflows (including delegation of authority) to ensure required business, finance, risk, and legal approvals are obtained prior to execution.

Qualifications: Bachelor's Degree from accredited program required with 8 years of experience in contract administration, legal operations, executive support within Legal department, or related role, or equivalent combination of education, training, and experience

  • Experience supporting commercial, procurement, or construction-related contracts, preferred
  • Experience working with contract lifecycle management (CLM) systems, preferred
  • Extensive understanding of supply chain or procurement contract law
  • In-depth knowledge of construction cost, scheduling, estimating, purchasing, and engineering principles and techniques
  • Proficient computer skills, with Microsoft Office suite of applications, including advanced skills using MS Word for redlining and document comparison tools, required, and collaborative tools
  • Highly organized with ability to manage high-volume document flow with accuracy
  • Skilled in drafting clear, well-structured contract correspondence and develop executive summaries
  • Ability to exercise discretion, maintain confidentiality, and demonstrate sound judgment
  • Ability to build trust and credibility and work collaboratively with attorneys, business teams, and other stakeholders
  • Ability to plan and track contract deliverables and deadlines, manage multiple priorities across projects, maintain contract logs and action registers, coordinate stakeholders, and drive timely execution of changes, notices, and closeout requirements
  • Excellent written and verbal communication skills, with proven attention to detail, issue-spotting, and ability to synthesize complex terms into concise summaries
  • Proficient with CLM, e-signature, and document management tools; ability to create reports/dashboards and maintain accurate contract metadata
  • Experience interpreting and applying insurance and risk allocation requirements (e.g., COIs, additional insured, waiver of subrogation, subrogation)
  • Strong project management skills, including ability to lead cross-functional contract reviews, facilitate approvals, and drive execution under tight deadlines
  • Working knowledge of commercial contracting concepts beyond construction (e.g., UCC-style procurement terms, data privacy/security, IP ownership and licensing, and compliance/ethics clauses)
    Demonstrated ability to negotiate commercial terms and communicate risk tradeoffs clearly to non-legal stakeholders
