The Opportunity
Ulteig is seeking a Director of Legal & Associate General Counsel who will report to Ulteig's Chief Information & Corporate Services Officer (CICSO). The position will serve as a trusted legal and business advisor to the Ulteig Leadership Team (ULT). This role will lead the company's legal and compliance groups from both a strategic and operational perspective. The role will have people leadership responsibility for staff in the legal and compliance functions. The position must be located in the United States, preferably in Minneapolis, MN, Denver, CO or Fargo ND.
What You'll Do
Legal
- Work with Ulteig leadership and external counsel to optimize the organization's legal structure to meet growth and other business objectives
- At the direction of the CEO, Chief of Staff and CICSO, facilitate updates or changes to Board governance and provide oversight to the maintenance of Board records
- Update the Board periodically on legal and compliance activities
- Manage outside counsel relationships, including coordinating the traffic of legal matters to and from external counsel and leveraging external resources to stay current on developments
- Work with Ulteig leadership, external counsel and insuring parties to resolve disputes and litigation; assess risk and recommend financial accruals related to claims
- Lead legal aspect of M&A and due diligence efforts, managing counsel and performing legal assessments to highlight risks and opportunities
- Provide legal guidance and oversight of processes and decisions related to Ulteig's client and other business partner contracts
- Work with the Human Resources team and business partners to resolve employment law matters
Compliance
- Provide functional oversight of policy and process development, training, and documentation efforts to meet compliance requirements (national and international)
- Ensure compliance processes and procedures adhere to relevant protocols across the organization
- Ensure compliance with state, provincial, and other business and professional licensure requirements while Ulteig expands our geographical footprint and technical capabilities
- Proactively lead department outreach efforts across the organization, including education for other leaders and professionals across the business
- Minimize legal and reputational risk while protecting the company
People and Organizational Leadership
- Inspire and maximize department success by setting clear expectations and aligned goal development. Prioritize objectives and provide timely and meaningful coaching and feedback. Support development opportunities and recognize employee performance
- Establish strong relationships at the executive and ownership level to understand the full range of business solutions needed to meet the company's goals
- Develop trust and maintain a leadership presence throughout the company to effectively collaborate with and influence others to achieve results
- Establish credibility as an effective developer of solutions to business challenges
- Establish budgets and organizational structures that meet the long-term resource needs of the department

What We Expect from You
- Juris Doctorate degree from an accredited law school, and active member in good standing of the bar association in your state of residence
- Minimum of eight years of in-house and/or legal law firm experience required
- Experience interacting with and advising senior leadership in organizations
- Experience in engineering services industry or professional services preferred
- Preference given to individuals with working knowledge of corporate governance, complex contracts, ESOPs, and mergers & acquisitions.
- Prefer experience working in a U.S.-wide and/or international environment
- Travel > 20% of the time
- Proficiency with productivity tools and applications, specifically AI tools, Microsoft (Teams, Word, Excel, Outlook, PowerPoint), and CRM.

- A results-oriented, "self-starting" professional with a structured, yet pragmatic approach.
- Must have permanent authorization to work in the U.S.

Target Base Compensation Range for this role is $181,200 - $245,200
