A Day In The Life

The Manager of Legal Affairs, under the leadership of the TFG Director, Senior Counsel, will develop, support and manage various projects in order to enhance the Legal Department's effectiveness in representing their clients. The Manager of Legal Affairs will 1) initiate, manage and complete various legal and business projects; 2) assume organizational responsibility for various matters, including contracts management, corporate governance, retail support, and revise as appropriate to meet changing needs and requirements; 3) identify resources needed to support legal and business projects and obtain them accordingly; 4) manage daily operational aspects of legal projects; 5) perform legal research as needed; 6) ensure the smooth flow of information to and from the Legal Department, and 7) maintain positive relations for the Legal Department with all Friedkin affiliated companies, associates, outside attorneys and professionals, business partners, customers, vendors and the general public as directed. The Manager of Legal Affairs will also take action to enhance cross-functional coordination and expand internal communications within TFG and among affiliated companies.

As a Manager of Legal Affairs you will:

  • Provide overall project management on various Legal Department projects.

  • Manage claims, cases, and other legal matters under the direction of an attorney, including the compilation and organization of evidence and/or other information, draft memos and subpoena responses, prepare affidavits, and effectuate legal holds, and working in conjunction with the Risk Department, effectuating subrogation and defense tenders.

  • Contract Drafting, Negotiation, and Analysis: Prepare, summarize and analyze initial drafts of contracts, amendments, and other legal documents for review, approval and use by Legal Department attorneys and business unit clients. Analyze contracts to ensure compliance with applicable federal and state laws and regulations, contract specifications, Company policies and business terms. Maintain contract templates.

  • Oversee the daily management of the corporate records and legal file records in an effort to support the enterprise, including The Friedkin Group, Inc. and its corporate affiliates in corporate governance and other legal matters. Principal responsibilities include (1) accurate maintenance of reports and records related to corporate compliance issues, Annual Consents, Entity formation documentation, qualifications to do business, dissolutions, certifications and company ownership; (2) maintenance of the electronic Entity Profiles database containing corporate information for all of the enterprise's corporate entities to ensure information is current and accurate; and, (3) management and maintenance of the Company's legal file records to ensure the constant flow and upkeep of the TFG Legal Records in order to provide timely responses to file and document requests from the legal department and management personnel.

  • Manage daily client interaction; set and manage client expectations; develop lasting relationships with client personnel that foster client ties and enhance communication; communicate effectively with clients to identify needs and evaluate alternative business solutions.

  • Manage and perform legal and/or factual research and investigations relevant to the Company as specifically assigned or as identified in conjunction with a project; analyze data and recommend courses of action. Prepare reports analyzing and summarizing findings.
  • Maintain and organize accurate legal files, Company records and databases. Act as key liaison for iManage (or other matter management software), which includes running and customizing reports and troubleshooting problems, as well as recommending and implementing process improvements.

  • In addition, the Manager of Legal Affairs will also:
    (1) provide support to the attorneys in the Legal Department and assume responsibility for various legal and/or special projects, as assigned;
    (2) assist with and manage invoices processed in the Legal Department; and
    (3) coordinate and oversee the completion of routine corporate legal matters as they arise, which may include research, visits to local government offices, document production and/or record tracking and other duties as may be assigned.

What We Need From You

  • Bachelor's degree from four-year college or university; plus, ten or more years related experience; or equivalent combination of education and experience.
  • 10+ years paralegal or related or training experience, or equivalent combination of education and experience.
  • Experience with contract drafting and administration and corporate governance related to Corporate Secretary functions and Paralegal experience in a law firm and/or in house legal department preferred.
  • Ability and willingness to take initiative to recognize and address problems, propose solutions and make continuous process improvements pertaining to areas of responsibility.
  • Ability to thrive in a fast-paced environment. Ability to manage and prioritize workload, and manage frequent changes in priorities and deadlines. Perform detail-oriented work under minimal supervision and demonstration of sound judgement in decision making and issues management.
  • Demonstrate exceptional organizational skills and organizational initiative in a corporate legal environment
  • High knowledge of legal concepts pertaining to areas of responsibility. High work standards and attention to detail.
  • Demonstrate interpersonal skills that develop high levels of trust, confidence and business partnering with legal department and management and associates.
  • Demonstrate punctuality, time management, organization, planning and coordination skills.
  • Demonstrate excellent writing, editing and proofreading skills.
  • Demonstrate proficient computer skills, including Excel, Microsoft Outlook, Word, PowerPoint, Westlaw and Internet search capabilities.
  • Ability to support and enhance change.
  • Ability to maintain confidentiality of information.
  • Ability to communicate effectively -- orally and in writing. Ability to listen effectively and then act appropriately.
  • Demonstrate an understanding of responsibilities and objectives of a Legal Department.

Physical and Environmental Requirements

The physical requirements described here are representative of those that must be met by an associate to successfully perform the essential functions of the job. While performing the duties of the job, the associate is required on a daily basis to analyze and interpret data, communicate, and remain in a stationary position for a significant amount of the work day and frequently access, input, and retrieve information from the computer and other office productivity devices. The associate is regularly required to move about the office and around the corporate campus. The associate must frequently move up to 10 pounds and occasionally move up to 25 pounds.
