Position Overview:

The Counsel position within PBS's Corporate Legal team presents a unique opportunity to work on a variety of cutting-edge issues in a fast-paced, collegial, mission-driven organization. The successful candidate will have proven transactional experience, including with a range of technology and other commercial contracts. The successful candidate will also have strong negotiation and drafting skills, the ability to problem solve, a commitment to providing excellent service to clients, and strong oral and written communications skills.

The Counsel must be capable of providing excellent advice on a wide array of legal and business issues and building collaborative relationships with OCLO colleagues and internal PBS clients. The Counsel will provide primary legal support to internal PBS departments such as Technology & Operations (T&O), PBS Foundation, Finance and Administration, and other teams as assigned.

Key responsibilities will include, but are not limited to:

  • Provide primary legal support, including negotiation and drafting of contracts, for various teams within PBS's T&O department, the PBS Foundation, PBS's Finance and Administration department, and other PBS departments as assigned.

  • Advise, draft, and negotiate T&O agreements with PBS vendors, including hardware purchases, software licenses, hosted and cloud services (SaaS, IaaS, PaaS), EULAs, NDAs, SLAs, engineering services, and communications network connectivity.

  • Provide legal advice to the PBS Foundation in support of its mission to be a leader for philanthropic support of public broadcasting, including the drafting and negotiation of grant and gift agreements.

  • Support the continuous improvement of standard form agreements, legal processes, and contracts training for internal clients. Work closely with other members of the OCLO on cross-functional projects.

  • Assist the VP, Deputy General Counsel with special projects, including high value/high risk issues, under short deadlines to produce legal advice for executive management.

  • Supervise outside counsel. Other duties as assigned.

Requirements for success:

  • 3-5+ years' experience as a transactional attorney with a nationally recognized law firm and/or an established in-house environment.

  • Experience negotiating and drafting complex commercial agreements in the media, technology, and/or nonprofit spaces.

  • J.D. and strong academic credentials from an ABA-accredited law school and Bar admission.

  • Must live within commuting distance of PBS's Arlington VA headquarters.
