Corporate Associate (Mid-Level)

Venable LLP's Corporate Group seeks a mid-level corporate associate with four to six years of transactional experience to join our team in the Washington, D.C. office. Venable's Corporate Practice Group comprises more than 120 attorneys across the firm's national platform, offering comprehensive counsel on the full spectrum of corporate legal matters.

The qualified candidate has substantial law firm experience advising public and private companies, private equity sponsors, and entrepreneurs on complex corporate matters, with a strong emphasis on mergers and acquisitions, entity formation and structuring, joint ventures, and other sophisticated business transactions.

The associate will be working on a wide range of transactional matters, including M&A deals (buy- and sell-side and carveouts), business reorganizations, partnership and LLC structuring, private equity investments, succession planning, and corporate governance for clients across diverse industries such as aerospace and defense, technology, hospitality, financial services, healthcare, professional services, and real estate (including REITs). Experience counseling clients in regulated industries and working with intellectual property agreements, commercial contracts, and venture arrangements is strongly preferred.

The candidate should be comfortable managing deals from inception through closing and working directly with clients. Representative tasks to be performed include, but are not limited to:

• Drafting and negotiating key transaction documents including merger and stock and asset purchase agreements, LLC and partnership agreements, shareholder agreements, joint venture and strategic alliance agreements, and a variety of commercial and IP-related contracts.
• Providing practical, business-oriented advice on deal structure, diligence, and integration issues, particularly in regulated sectors.
• Leading and coordinating due diligence reviews and transaction closings.
• Serving as a significant point of contact for clients and opposing counsel and managing junior associates and cross-functional deal teams.
• Participating in client education initiatives and business development presentations.
• Providing mentorship to junior associates and participating in firm citizenship activities.
  
  

The successful candidate has excellent oral and written communication skills, outstanding academic credentials, and a proactive, client-service-oriented approach. Candidates must have a Juris Doctor degree from an accredited law school and be admitted to and in good standing with the relevant local Bar. The salary range for associate positions is $215,000 to $355,000. The actual salary offered will be based on several job-related factors including, but not limited to, years of related experience, level of education, skills, credentials and certifications, responsibilities, and performance.
